These terms apply to all freelance engagements carried out by Ryan Phillips (“I”, “me”) for clients (“you”). By commissioning work, you agree to these terms. Where a separate contract or statement of work exists, that document takes precedence.
1. Scope of work
Each engagement begins with a written scope — a brief email, statement of work, or formal proposal. Work outside that scope will be discussed and agreed before proceeding; I will not silently expand or reduce the scope without telling you.
2. Fees and payment
Fixed-price projects are quoted upfront. Day-rate and retainer work is invoiced monthly or as agreed. Payment is due within 14 days of invoice unless otherwise agreed in writing. I reserve the right to pause work on overdue accounts.
I am not currently VAT-registered. If this changes, I will notify you in advance.
3. Revisions and changes
Fixed-price projects include a reasonable number of revisions within the agreed scope. Significant changes to requirements after work has begun may affect the timeline and cost — I will flag this before proceeding rather than absorbing it silently.
4. Timelines
Timelines are agreed at the start of each engagement. Delays caused by late supply of content, access, or feedback from your side may push the delivery date. I will communicate any expected delays as early as possible and work with you to reschedule.
5. Intellectual property
On receipt of full payment, all deliverables produced specifically for your project transfer to you. I retain the right to reference the work in my portfolio unless you ask me not to, in which case I will keep the engagement confidential.
I retain ownership of any general-purpose tools, frameworks, or methods developed during the engagement that are not specific to your project.
6. Confidentiality
I treat all client information as confidential by default. I will not share details of your business, systems, or data with third parties without your permission, except where required by law.
7. Liability
I take reasonable care in all work and will correct errors within scope at no additional charge. My total liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. I am not liable for indirect or consequential losses.
Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, as required by UK law.
8. Cancellation
Either party may cancel an engagement with reasonable written notice. Work completed up to the point of cancellation is invoiceable at the agreed rate. For fixed-price projects, I will invoice for the proportion of work completed.
9. Governing law
These terms are governed by the law of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
